MOTION PICTURE SCREENING LICENSE AGREEMENT

By submitting an online request for a license to publicly screen the Power in My Hands feature film (Film), the licensee identified in such online license request (Licensee) expressly agrees to the following terms and conditions of this Motion Picture Screening License Agreement (Agreement):  

1. License. Subject to the terms of this Agreement and upon full payment of the applicable license fee, Rosary Evangelization Apostolate, Inc. (REA) grants Licensee a non-transferrable, non-exclusive, limited license to publicly perform/screen the Film at any time during a one year period beginning on the date Licensee submits its application and pays the applicable license fee to REA. This license includes the right to: (a) publicly display and/or perform the Film in its entirety; (b) publicly perform the Film multiple times during the one-year license term; and (c) prepare and distribute promotional materials in advance of the Film screening(s) to the potential audience(s); (d) the license agreement ceases after one year from the date of purchase; and the film copy (either DVD or BluRay) is retained by the purchaser of the license; the license can be extended by purchasing an additional license.  

2. Delivery. Within 14 days of receiving Licensee’s online license request and applicable license fee, REA will ship a copy of the Film to Licensee in the format requested and to the address provided by Licensee in the online license request form.  

3. Limitations. The license granted in Section 1 does not permit Licensee to (1) claim authorship or ownership of the Film; (2) use the Film for any purpose other than to screen it publicly without any modification; or (3) use the Film in any manner that is not expressly authorized under this Agreement. Any and all rights not granted to Licensee are expressly reserved to REA.  

4. Audience Sizes and Fee. Licensee fees are as follows: a. Small License: Licensee may screen the Film for an audience of less than 100 people for a license fee of $99. b. Standard License: Licensee may screen the Film for an audience of 100 – 1000 people for a license fee of $199. c. Large License: Licensee may screen the Film for an audience of over 1000 people for a license fee of $299. Licensee must select the license type and make payment at the time of submitting the online license request form. No refunds or credits will be given.  

5. Representations & Waranties. Licensee represents and warrants that: (a) it will comply with the terms of this Agreement and all applicable laws; (b) all information provided by Licensee to REA in its online license request form and any other related communications to REA are true, correct and complete in all respects; and (c) this Agreement has been duly authorized and constitutes a legal, valid and binding obligation upon Licensee and is enforceable by its terms and conditions. Licensee expressly understands and agrees that by submitting a license request form and clicking to agree to the terms of this Agreement, Licensee agrees to be legally bound by all terms and conditions of this Agreement.  

6. Rights in Film. REA owns the exclusive, global, royalty-free and fully paid up rights in and to the Film and any promotional materials relating to the Film. These rights include (without limitation) all copyrights, promotional, assignment and license rights, in all media, whether currently existing or developed in the future. Nothing in this Agreement will provide Licensee with any rights in or to the Film or any related promotional materials.  

7. Termination. REA reserves the right, exercisable upon thirty (30) days written notice, to terminate the Agreement on account of any breach by Licensee of the terms of this Agreement. In the event of such termination, there shall be no refund of the license fee. A waiver by REA or by Licensee of any breach by the other shall not constitute a waiver of any prior, continuing or subsequent breach of the same, or any other provision of the Agreement. If any part of the Agreement shall be determined unenforceable, the remainder of the Agreement shall remain in full force and effect.  

8. Governing Laws. This Agreement constitutes the entire agreement between the parties regarding Licensee’s use of the Film. This Agreement may not be modified unless in writing and agreed upon by authorized representatives of both parties. The parties agree that the laws of the United States and the State of Wisconsin shall govern this Agreement. Licensee is solely responsible for complying with all applicable local laws and ensuring that it may lawfully enter into this agreement. REA disclaims any liability for laws outside the United States and Licensee agrees to indemnify REA for any claims regarding the violation of such laws.  

9. Assignment. The Agreement may not be assigned by Licensee without the prior written consent of REA, which will not be unreasonably withheld. The Agreement may be assigned by REA. 

10. Tax Liability. In the event that a determination is made by a taxing authority or court of any state or country in which Licensee conducts business that the activity licensed herein renders REA liable for the payment of taxes on Licensee’s gross receipts, sales, business use or other tax, then Licensee shall reimburse and indemnify REA for the amount of such taxes within thirty (30) days of noti¬fication from REA of the tax requirement.  

11. Attorney Fees. In the event REA engages an attorney to enforce its rights under the Agreement due to Licensee’s violation of any terms of this Agreement or other applicable laws, Licensee agrees to pay the reasonable costs and reasonable attorney fees incurred by REA.
